Terms and Conditions

The products supplied by Repilabs are dedicated exclusively for scientific research and development purposes.

These Terms govern the supply of research materials by Repilabs. Please read them carefully before submitting an enquiry or placing an order.

1.General Provisions and Validity

1.1 These Terms and Conditions govern the relationship between Repilabs (“the Company”, “we”, “us”) and the buyer (“the Customer”, “you”), and set out the rights and obligations of both parties.

1.2 These Terms apply to all supply of Goods for scientific, laboratory, research, and development purposes.

1.3 By submitting an enquiry or placing an order, the Customer confirms that they have read, understood, and agreed to be bound by these Terms.

1.4 The Company may update, amend, or modify these Terms at any time. The version published on the Website at the time of an order applies to that order.

2.Definitions

  • Agreement: the contract between the Company and the Customer incorporating these Terms and the specifics of an order.
  • Goods / Products: the research peptides, reference compounds, and related items offered by the Company.
  • Website: the website operated by the Company at repilabs.com.
  • Customer: the business or research entity that submits an enquiry or places an order.

3.Strict Product Use Disclaimer

3.1 All Goods supplied by the Company are intended strictly for in-vitro laboratory research purposes only. They are not drugs, food, cosmetics, or medical devices, and are not for human or veterinary use, consumption, or any in-vivo, diagnostic, or therapeutic application.

3.2 The Customer assumes full responsibility for the safe storage, handling, use, and disposal of the Goods.

3.3 Goods must only be handled by qualified professionals who are familiar with their properties and hazards.

3.4 The Company reserves the right to refuse or cancel any order, and to decline future supply, where Goods appear to be intended for human consumption or any unlawful purpose.

4.Eligibility

4.1 The Company supplies businesses, research institutions, and other professional research entities only. We do not sell to consumers.

4.2 By placing an order, the Customer represents and warrants that they are at least 18 years of age, are acquiring the Goods in the course of a business or research activity, are qualified to handle research chemicals safely, and that the Goods are lawful to purchase, possess, and use in their jurisdiction.

4.3 The Company may request information to verify the Customer’s eligibility and may decline supply where eligibility cannot be confirmed.

5.Enquiries, Quotes, and Conclusion of Contract

5.1 Catalog listings are an invitation to enquire and do not constitute an offer to sell.

5.2 The Customer submits an enquiry specifying the Goods and quantities required; the Company responds with a quotation. An Agreement is concluded only when the Company confirms the order in writing.

5.3 All orders are subject to availability. Where Goods are unavailable, the Company will notify the Customer and, where payment has already been made, offer a refund or a suitable alternative.

6.Pricing and Payment

6.1 Prices are provided on request and quoted in the currency stated in the quotation, exclusive of taxes and shipping unless stated otherwise.

6.2 Payment methods and terms are confirmed at the time of order. Unless otherwise agreed, full payment is required before dispatch.

6.3 The Company may change prices at any time; the price confirmed at the time of order applies to that order.

7.Shipping and Delivery

7.1 The Company aims to dispatch confirmed orders promptly after cleared payment, within the timeframe agreed at the time of order.

7.2 Delivery times are estimates and are not guaranteed. The Company is not liable for delays caused by courier services, customs, or events beyond its reasonable control.

7.3 The Customer is solely responsible for ensuring that the Goods are lawful to import, possess, and use in the destination jurisdiction. The Company accepts no responsibility for customs seizures and issues no refunds in such cases.

7.4 Risk of loss or damage passes to the Customer upon handover of the Goods to the carrier. Title passes only once payment has been received in full.

8.Returns and Refunds

8.1 If Goods arrive damaged, compromised, or incorrect due to the Company’s fault, the Customer must notify the Company within 3 days of receipt to arrange a replacement.

8.2 Because the Goods are temperature-sensitive scientific research chemicals subject to degradation, all sales are otherwise final.

9.Liability and Indemnification

9.1 To the maximum extent permitted by law, the Company’s total liability arising out of or in connection with any order is limited to the price paid for the Goods giving rise to the claim. The Company is not liable for any indirect, incidental, special, or consequential damages.

9.2 The Customer indemnifies the Company, its directors, employees, and affiliates against any claims arising from the Customer’s improper use, handling, storage, or distribution of the Goods.

10.Privacy and Data Protection

10.1 The Company processes personal data in accordance with the EU General Data Protection Regulation (GDPR, EU 2016/679).

10.2 Details of how personal data is collected, stored, and processed are set out in the separate Privacy Policy.

11.Intellectual Property

11.1 All content on the Website is the property of the Company and is protected by copyright and other intellectual property laws. Reproduction or distribution without the Company’s consent is prohibited.

12.Applicable Law and Dispute Resolution

12.1 These Terms and any Agreement are governed by the laws of the jurisdiction in which the Company is established within the European Union, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
